CANINE REHAB ON DEMAND™ RESELLER LICENSE AGREEMENT

(For Veterinarians and Certified Rehabilitation Practitioners)

This Reseller License Agreement (the "Agreement") is entered into by and between Veterinary Teaching Academy, LLC ("VTA," "Company," "we," "us," or "our") and the Licensed Reseller ("you," "your"), upon purchase of a Canine Rehab On Demand™ Reseller License (the "License").

By purchasing and using the License, you agree to the following terms:


1. LICENSED RESELLERS & ELIGIBILITY


Licensed resellers include:

  • Licensed veterinarians

  • Certified Canine Rehabilitation Practitioners (CCRP, CCRT, or equivalent certification)


Licensed resellers can:

  • Sell Canine Rehab On Demand™ (CROD) programs to clients at their own price or absorb into treatment plans.

  • Prescribe rehab programs based on professional judgment.

  • Use CROD materials to support patient rehab plans.


Licensed resellers cannot:

  • Sell the Reseller License itself—only CROD programs.

  • Offer CROD programs as standalone courses for online retail at prices below MSRP.

2. PRICING & MINIMUM ADVERTISED PRICE (MAP) POLICY


You have full control over pricing when selling directly to clients (in-clinic or bundled in services).

MSRP (Manufacturer’s Suggested Retail Price)

  • MSRP for each program is $97–$347 depending on content. Please go to www.caninerehabondemand.com to view current MSRP of our programs. We reserve the right to alter the MSRP at any time. 

  • Your clinic/practice credit card is charged 50% of MSRP when granting client access (currently $48.50–$173.50 per program). 

  • To encourage bundle sales to your clients, we have reduced your MSRP price to $325 (retails to public for $347)

  • You keep the difference, no matter what you charge.


Online Sales Restriction:

  • Licensed resellers may NOT list CROD programs for sale below MSRP on their website, social media, or any online platform. 

  • You are allowed to post “Ask your veterinarian or CCRP for pricing”

  • This prevents price undercutting and protects your ability to charge your own rates.


⚠ Violation of this policy will result in immediate termination of your reseller license without refund. Additionally, any clients enrolled through unauthorized sales may have their program access revoked. 

3. PROGRAM ACCESS & ADMINISTRATION


How It Works:

1.You prescribe a program to a client.
2. You submit a quick form to CROD to grant access.
3. The client receives immediate access to the program.
4. Your clinic card is charged 50% of MSRP at the time of access.

Clients receive:

  • Step-by-step video guides & structured exercise plans

  • Pharmaceutical & nutraceutical explanations (final decisions made by you)

  • Printable rehab charts & progress tracking


You are responsible for tracking sales and usage in your POS. (Individual dashboards to track programs sold per primary and affiliate clinic are currently on our future roadmap.)

4. APPROVED MARKETING & PROMOTION


Licensed Resellers MAY:

  • Market CROD programs on their website, clinic materials, and social media (as part of services).

  • Use CROD’s marketing assets (email templates, social posts, in-clinic flyers).

  • Discuss and prescribe CROD programs to clients.


Licensed Resellers MAY NOT:

  • List CROD programs for general public sale, including online, below MSRP.

  • Rebrand, modify, or resell CROD materials.

  • Claim CROD replaces veterinary treatment.

5. TERMINATION & NON-COMPLIANCE


We reserve the right to revoke reseller licenses for:

  • Violating MAP pricing policies (selling below MSRP online).

  • Failing to comply with ethical rehabilitation practices.

  • Misrepresenting CROD as a replacement for veterinary oversight.


Termination will result in loss of reseller privileges and access to CROD programs.

6. LEGAL DISCLAIMER & LIABILITY WAIVER

  • You acknowledge that CROD programs are informational and do not replace individualized veterinary care.

  • You agree to indemnify and hold harmless CROD & VTA from any claims related to patient outcomes.

  • CROD is not liable for financial outcomes related to program sales or integration.

7. ACCEPTANCE OF TERMS

By purchasing a Canine Rehab On Demand™ Reseller License, you acknowledge that you have read, understood, and agree to abide by the terms of this agreement.
